Fervent provides outsourced accounting, bookkeeping, CFO, and financial advisory services for contractors, skilled trades, and home service businesses. The specific scope, terms, and pricing of any engagement will be outlined in a separate service agreement.

Fervent Accounting Sync (the "Application") is a private application that connects to QuickBooks Online company files. These terms apply to any client who authorizes the Application to access a QuickBooks Online company.
License. Fervent grants you a limited, non-exclusive, non-transferable, revocable license to authorize the Application to access your QuickBooks Online company, for the sole purpose of receiving the services described in your engagement agreement with Fervent. Fervent operates the Application. You do not receive a copy of the software.
Restrictions. You may not:
Your data. You keep all rights to your QuickBooks data. Our Privacy Policy explains what the Application accesses and how we handle it.
Term and termination. This license lasts until you revoke the Application's access in QuickBooks Online, ask us to disconnect it, or your engagement with Fervent ends. Fervent may also end the license at any time.
Disclaimer. THE APPLICATION IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, TO THE FULLEST EXTENT THE LAW ALLOWS. THIS INCLUDES ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. YOUR ENGAGEMENT AGREEMENT GOVERNS THE PROFESSIONAL SERVICES WE PROVIDE.
Limitation of liability. TO THE FULLEST EXTENT THE LAW ALLOWS, FERVENT IS NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING FROM THE APPLICATION. FERVENT'S TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE APPLICATION WILL NOT EXCEED THE LIMIT SET IN YOUR ENGAGEMENT AGREEMENT. IF THAT AGREEMENT SETS NO LIMIT, OR IF YOU HAVE NO ENGAGEMENT AGREEMENT WITH FERVENT, THAT TOTAL LIABILITY WILL NOT EXCEED THE FEES YOU PAID FERVENT IN THE THREE MONTHS BEFORE THE CLAIM AROSE. NOTHING HERE LIMITS LIABILITY THAT THE LAW DOES NOT ALLOW US TO LIMIT.
Which agreement controls. If this license and your engagement agreement conflict, the engagement agreement controls for the professional services, and this license controls for the Application itself. Our Privacy Policy controls for how we handle data.
Support. Email adas@teamfervent.com with any question about the Application. We answer within two business days.
Governing law and disputes. Texas law governs this license, without regard to its conflict of laws rules. Any dispute about the Application will be brought in the state or federal courts in Dallas County, Texas, and both sides consent to that venue. If any part of this license is held unenforceable, the rest stays in force.
Intuit. Intuit Inc. is not a party to this license, is not responsible for the Application, and does not endorse it. QuickBooks and QuickBooks Online are registered trademarks of Intuit Inc. Your use of QuickBooks Online remains subject to Intuit's own terms.
We reserve the right to update these terms at any time. Continued use of the website after changes constitutes acceptance of the revised terms.
